These Terms and Conditions (the “Terms”) constitute a legally binding agreement between you (“User,” “you”) and MENTHERIS SRL, a company registered in Romania (“Mentheris,” “the Company,” “we,” “us,” “our”), governing your access to and use of the mobile application Kaegora (the “App,” “the Service,” “Kaegora”), available on iOS and Android.
By creating an account or otherwise using the App, you confirm that you have read, understood, and agree to be bound by these Terms in their entirety, including any documents incorporated by reference (the Privacy Policy, the Acceptable Use Policy, the Content Moderation Policy, and the Refund and Cancellation Policy). If you do not agree with any part of these Terms, you must not use the App.
1. Eligibility and Acceptance
1.1. Kaegora is intended exclusively for individuals who are at least 18 years old. By creating an account, you represent and warrant that you are at least 18 years of age.
1.2. Kaegora is designed for professionals, researchers, founders, consultants, and other individuals seeking structured, intentional collaboration, professional knowledge-sharing, and access to curated academic and professional resources. This purpose extends to every area of the App, including the Community Feed, where users publish Thought, Question, Research, and Experience posts, and the Knowledge base of shared academic and professional resources. These areas are an extension of the platform’s collaboration-oriented purpose: they exist to support intellectual contribution, professional visibility, and the discovery of compatible collaborators, not to serve as a general-purpose discussion forum, blog, or content-sharing feed. Kaegora is not intended for the general public and is not a substitute for social networking, dating, casual messaging, or generic content-sharing services.
1.3. If we become aware, or have reasonable grounds to suspect, that an account belongs to a person under 18, we reserve the right to suspend or permanently delete that account without prior notice.
1.4. You must provide accurate, current, and complete information when creating your account and must keep such information updated.
1.5. The App is available only as a native mobile application for iOS and Android. There is currently no web version of Kaegora, and no separate website-based service is governed by these Terms unless expressly stated otherwise.
2. Description of the Service
2.1. Kaegora is a mobile collaboration platform that helps people discover collaborators, publish and respond to collaboration opportunities (“Calls”), communicate through structured, project-anchored messaging (“Collaboration Workspaces”), and manage collaborations across their full lifecycle, from first contact through formal completion (Discover → Apply → Agree → Work → Close → Appreciate).
2.2. Kaegora is not a general-purpose social network, a job board, or a recruitment or staffing agency. It is a structured space designed around intentional, professional collaboration between individuals and organizations with complementary goals.
2.3. The App is organized around the following interconnected functional areas:
(a) Calls Feed. A discovery surface where Users publish and browse collaboration opportunities (“Calls”). Calls are ranked using an automated compatibility score (see Section 8) and may be filtered, saved, and applied to, subject to the limits described in Section 14.
(b) Community Feed. A professional knowledge-sharing space where Users publish four distinct content types: Thought, Question, Research, and Experience posts, each with its own structure, and where other Users may react, comment, and engage in threaded discussion.
(c) Knowledge Base. A shared, collaboratively maintained library of academic and professional resources, including reading lists, academic notes, and citation tracking, which Users may browse, save, and contribute to.
(d) People & Network. A discovery and relationship-management area comprising a “Discover” feed of suggested Users (ranked by Compatibility Score, see Section 8), a “My Network” view of accepted mutual connections, and, for Pro-tier Users with an accepted mutual connection, a Direct Messages feature distinct from Collaboration Workspace messaging (see Section 13).
(e) Collaboration Workspaces. Structured, project-anchored messaging environments created automatically upon acceptance of a Call application or a direct collaboration invitation, governed by the two-stage confirmation flow described in Section 9.
(f) Messages Inbox and Notifications. A unified inbox consolidating all active and archived Collaboration Workspaces, together with a notification system that informs Users of relevant platform activity across categories they may individually configure (see Section 12 of the Privacy Policy).
(g) Profile, Trust Level, and Dashboard. Each User maintains a public-facing profile subject to the visibility controls described in the Privacy Policy, an automatically calculated Trust Level and related reputation signals (see Section 8), and, for Pro-tier Users, a private analytics dashboard summarizing their own platform activity.
2.4. Certain features operate in real time and are visible to other Users, including but not limited to: typing indicators, live application and interest counters, badge counts, and online/activity presence signals (unless disabled via Quiet Mode or Invisible availability status). By using the App, you acknowledge and accept that such real-time indicators are a core part of the Service’s functionality and do not constitute a breach of privacy.
2.5. Mentheris acts solely as the provider of the technical infrastructure that enables Users to connect, communicate, and collaborate with one another. Mentheris is not a party to any collaboration, agreement, connection, or arrangement formed between Users through the App (see Section 9).
2.6. We reserve the right to modify, expand, restrict, suspend, or discontinue any feature of the Service, including any of the functional areas described in Section 2.3, at any time, with or without prior notice, to the extent permitted by applicable law.
3. Account Registration and Onboarding
3.1. To use the App, you must register using a valid email address, a password, and a unique username.
3.2. Username. Your username is your unique public identifier on the platform and must comply with the format rules displayed at signup (length and character restrictions). Usernames may be changed a maximum of two (2) times per calendar month; the applicable limit and any remaining changes are displayed proactively before you attempt a change, and the field is disabled with a clear explanation once the limit is reached. We reserve the right to reclaim or reject a username that infringes a third party’s rights, is misleading, or contains offensive language.
3.3. Password. Passwords must be a minimum of 8 characters and must include both letters and numbers. Commonly used or easily guessable passwords may be automatically classified as weak regardless of length, and you are encouraged to strengthen them before proceeding. You are solely responsible for maintaining the confidentiality of your password and for all activity occurring under your account. You must notify us immediately at [email protected] of any suspected unauthorized use of your account.
3.4. Mandatory profile photo. A profile photo is required to complete account setup. By uploading a photo, you represent and warrant that you own or have the necessary rights to the image and that it authentically represents you, not a third party, a stock image, or a synthetically generated likeness intended to mislead others.
3.5. Mandatory onboarding. Your account is not fully active until you complete the onboarding flow, which collects identity information (photo, display name, headline), professional domain and focus areas, collaboration intent and availability, and a short biography. You may not access the core features of the App until onboarding is complete.
3.6. Email enumeration protection. For security and privacy reasons, the App does not disclose whether a given email address is already registered on the platform, whether at signup or during password recovery. This is an intentional security measure, not a system error.
3.7. Account security measures. To protect against unauthorized access, the App enforces progressive protections on repeated failed login attempts, including temporary lockout with a visible countdown. These protections operate both client-side (for immediate feedback) and server-side (as an enforceable safeguard that cannot be bypassed) and may persist across app restarts.
3.8. Session persistence. Once authenticated, your session remains active until you explicitly sign out, or until the session becomes invalid for security reasons (for example, a password changes on another device). Kaegora does not automatically expire sessions after a period of inactivity. You are responsible for signing out of the App on any shared or public device.
3.9. Password Reset. You may request a password reset via a link sent to your registered email address. For security reasons, a password reset link is valid for a limited period (currently one hour) and, consistent with the email enumeration protection described in Section 3.6, a reset request produces the same confirmation message regardless of whether the associated email address is registered on the platform.
3.10. Changing Your Password. You may change your password at any time from within the App’s Settings. This action requires confirmation of your current password before a new password may be set, as an additional safeguard against unauthorized changes.
3.11. We reserve the right to refuse the creation of an account, or to suspend an existing account, if the information provided is false, incomplete, or misleading.
4. Work Email Verification
4.1. The App offers an optional feature allowing you to verify an email address associated with a company or institutional domain (“Work Email Verification”).
4.2. Work Email Verification confirms only that you have access to an email address on the corresponding domain. It does not constitute and must not be relied upon as: (a) confirmation of your legal identity; (b) confirmation of your role, title, or authority within the relevant organization; or (c) a “Know Your Business” (KYB) check or a complete corporate identity verification.
4.3. Users should not interpret a “Verified” badge as a guarantee of the full professional legitimacy of another user or company. We recommend reasonable diligence in any professional interaction on the platform.
4.4. Verification process. To verify a work email, you must provide an address on a non-personal domain; personal email domains (e.g., Gmail, Yahoo, Outlook, iCloud) are automatically rejected and are not eligible for Work Email Verification. Upon request, a time-limited, single-use verification code (valid for 10 minutes) is sent to the declared address. Verification requests are rate-limited to a maximum of three (3) attempts per hour per account to prevent abuse. All domain validation is enforced server-side and cannot be bypassed by modifying the client application, regardless of what may appear to succeed locally.
4.5. Revocation and removal. You may remove your own Work Email Verification at any time from Settings; doing so permanently clears the associated verified email and domain from your profile. We separately reserve the right to revoke a verification status at any time, including where the email address is no longer valid or where we suspect misuse.
5. Company and Institutional Accounts
5.1. Users with a verified Work Email may publish Calls under a company or organizational identity, displayed with a distinct company badge, as described in Section 4.
5.2. The individual who creates or manages a company-identified posting represents and warrants that they have the necessary authority from the relevant organization to publish content on its behalf.
5.3. Mentheris does not verify and does not guarantee the contractual, employment, or representational relationship between the individual posting and the organization whose name or brand is displayed.
5.4. Separation of personal and organizational reputation. Trust and reputation signals tied to an individual account (Trust Level, appreciations, responsiveness) are personal to that individual and are not merged with, or transferred to, the organization on whose behalf that individual may post. Responsibility for content published under a company identity rests jointly with the individual account holder and, where applicable, the organization they represent.
5.5. We reserve the right to withdraw a company badge or suspend an account where we have reason to believe the organizational representation is false or unauthorized.
5.6. Effect of verification revocation. If your Work Email Verification is revoked or removed under Section 4.5, the associated company badge is removed from your profile and from any active Calls going forward. Previously published Calls remained visible without the company badge but are not automatically deleted or archived as a result; you remain solely responsible for updating or archiving such content if it no longer accurately reflects your affiliation.
5.7. No contractual relationship with the represented organization. Only the individual account holder is bound by these Terms. The display of a company or organizational name or badge does not make that organization a User of the App, a party to these Terms, or a party to any obligation toward Mentheris, regardless of the individual’s actual affiliation with it.
6. User-Generated Content
6.1. “User-Generated Content” (“UGC”) means any content you create, upload, or submit through the App, including without limitation: profile information and photos; Calls and Call applications; Collaboration Workspace messages, agreements, and notes; appreciation messages; Community Feed posts of any type (Thought, Question, Research, Experience); Knowledge base resources, reading lists (including collaborative reading lists), and academic notes; comments, reactions, quality flags, and reports.
6.2. Ownership. You retain ownership of the UGC you create.
6.3. License granted to Mentheris. By submitting UGC, you grant Mentheris a non-exclusive, worldwide, transferable, sub-licensable, royalty-free license to host, store, reproduce, display, and distribute such content solely for the purpose of operating, promoting, and improving the Service.
6.4. System-generated and audit-trail content. Certain content is generated automatically by the platform as part of the collaboration process, including system messages recording significant collaboration events (e.g., “Agreement confirmed,” “Contacts unlocked”) and activation summary messages recording the agreed goal, timeline, and shared contact details. These messages form a permanent audit trail of the collaboration and cannot be deleted by users, regardless of the reason.
6.5. Content permanence and edit windows. Most content types are editable only within a ten (10) minute window after publication, enforced both in the App’s interface and server-side. After that window expires, further edits may be disabled entirely or may create a visible version history rather than replacing the original content (as is the case for Research posts, where subsequent edits are recorded as version snapshots with a visible “Updated N times” indicator and an optional change note). You acknowledge that content you publish may become effectively permanent once the applicable edit window has passed, and you are solely responsible for reviewing content carefully before publication.
6.6. Archiving is not deletion. Certain content types may be configured to automatically expire from active visibility (for example, time-limited Thought posts) or may be automatically archived (for example, Calls past their deadline). Expiration or archiving removes content from active feeds but does not delete it from our systems; archived content may remain retrievable by its owner and, where applicable, subject to our data retention practices described in the Privacy Policy.
6.7. You are solely responsible for the UGC you publish and represent and warrant that it does not infringe the intellectual property, privacy, or other rights of any third party, and that you have the necessary rights to share any third-party content you reference, link to, cite, or summarize (including academic and research resources added to the Knowledge base).
6.8. Co-authorship and attribution. Where the App allows you to tag another platform user as a co-author or contributor (for example, on Research posts or Knowledge resources), that user must explicitly accept the attribution before it becomes visible on their profile. Where the App allows attribution of external, non-platform individuals as authors (via free-text entry), no such acceptance mechanism exists, and Mentheris does not verify the accuracy of such attributions. You are solely responsible for the accuracy of any authorship or contribution claims you submit.
6.9. Intellectual property disputes between users. Mentheris does not arbitrate disputes between Users regarding intellectual property priority, authorship accuracy, or the originality of ideas, research findings, or citations shared on the platform. Features such as citation counts, “cited N times,” or contributor scores are informational indicators generated automatically by the platform and do not constitute a determination of intellectual priority or ownership.
6.10. Deletion of your own content affects others’ contributions. Deleting UGC you own (for example, a Community Feed post) permanently removes all reactions, comments, and threaded replies that other Users have made on it. You acknowledge that other Users’ contributions may be lost as a result of your deletion, and Mentheris is not liable for any such loss.
6.11. Collaborative content. Where the App allows multiple Users to contribute to shared UGC (for example, a collaborative reading list), each contributor retains ownership of their individual contribution, but the designated owner of the shared item retains sole control over its structure and may add or remove collaborators, delete individual items, or delete the shared item itself. Contributors do not have independent deletion rights over content within a collaborative item they do not own.
6.12. Exporting content. The App may allow you to export certain UGC (for example, a reading list together with its attached academic notes) as a formatted document via your device’s native share function. Exporting content does not grant you ownership of, or a license to further use, any UGC created by other Users that may be included in the export; your use of such third-party contributions remains subject to these Terms and applicable law.
6.13. Removing yourself from an attribution. Where you have been tagged and have accepted attribution as a co-author or contributor on another User’s content, you may remove that attribution from your own profile at any time. Doing so removes the association from your profile but does not alter, remove, or otherwise affect the underlying content, which remains published by its original creator.
6.14. Suggested edits. Where the App allows you to suggest an edit or improvement to a Knowledge base resource created by another User, the resource owner may accept or decline your suggestion at their discretion. An accepted suggestion becomes part of the resource but does not transfer ownership of the resource to you; your contribution is reflected solely through your Contributor Tier score, as described in Section 8.
6.15. We reserve the right, but not the obligation, to review, moderate, edit, or remove any UGC that violates these Terms, our Acceptable Use Policy, or our Content Moderation Policy.
7. Prohibited Conduct
7.1. By using the App, you agree that you will not: (a) request or offer direct payment within Calls or collaborations in a manner intended to circumvent the platform’s subscription model; (b) publish false, misleading, or unrealistic content, including exaggerated claims within Calls; (c) send spam, unsolicited commercial content, or repetitive messages; (d) harass, threaten, discriminate against, or verbally abuse other users; (e) create multiple or false accounts, or impersonate any person or organization; (f) engage in any activity that is unlawful or infringes the rights of third parties; (g) attempt to circumvent any automated content-screening, moderation, or rate-limiting system implemented by the platform (including but not limited to application limits, connection request limits, or username change limits); (h) scrape, harvest, or extract data from the App using bots, crawlers, or other automated means not authorized by us; (i) misuse the reporting system by submitting knowingly false or repeated bad-faith reports; (j) submit fraudulent, spam, or bad-faith Call applications, or misuse the direct collaboration invitation feature to send repetitive or unsolicited proposals to Users with whom you have no genuine collaborative intent; (k) misrepresent, fabricate, or artificially manipulate completed collaborations, appreciations received, or any other input to the Trust Level, Compatibility Score, or Contributor Tier systems described in Section 8; (l) attempt to reverse-engineer, probe, or exploit the underlying logic of any automated scoring, ranking, or matching system described in Section 8; (m) disclose or use contact details obtained through a Collaboration Workspace for any purpose other than the collaboration for which they were shared, without the consent of the other party; (n) misuse the quality-flagging mechanism for Knowledge base resources described in Section 12.2 by submitting knowingly false or repeated bad-faith flags.
7.2. The App uses automated systems to screen certain content before publication (for example, newly published Calls are automatically checked for problematic patterns such as requests for payment from applicants, unrealistic promises, or spam). Depending on the result of this automated check, content may be published immediately; placed under a temporary review period (during which it is automatically published if no moderator intervenes within the disclosed window, unless removed); or blocked from publication, with the reason disclosed to you so that you may revise and resubmit. Automatic publication following a review period does not constitute an endorsement, approval, or guarantee of compliance by Mentheris, it reflects only the absence of manual intervention within that window.
7.3. Aggregate assessment of conduct. We may assess conduct under this Section based on patterns of behavior across the App as a whole, not solely on isolated incidents, and reserve the right to act where the cumulative effect of otherwise minor actions indicates an attempt to circumvent these Terms.
7.4. Violation of this Section may result in a warning, temporary suspension, or permanent termination of your account, as described in Section 18.
8. Automated Reputation, Scoring, and Matching Systems
8.1. Kaegora uses several automated systems to help Users discover relevant collaborators and evaluate potential collaboration partners:
(a) Trust Level a five-tier reputation badge (Building Reputation, Active, Trusted, Established, and Top Collaborator) calculated from objective platform behavior, including completed collaborations, appreciations received, platform contributions, and responsiveness. Trust Level is recalculated on a recurring basis (approximately every 24 hours) and is displayed alongside your profile and avatar throughout the App, including on Discover cards, Call cards, and Collaboration Workspace headers.
(b) Compatibility Score an automated ranking used to order suggested collaborators and Calls in Discover and the Calls Feed, based on factors including shared professional domains, collaboration format preferences, stated openness to collaboration, and skill overlap. The underlying numeric score is not displayed to Users and is used solely for ordering purposes.
(c) Contributor Tiers a reputation tier reflecting activity in the Knowledge base, calculated from resources added, notes written, and saves or likes received from other Users.
(d) Other behavioral badges including without limitation a “Responsive Owner” indicator (based on an owner’s historical response rate and time to Call applications) and temporary visibility signals such as a “New” badge for recently joined, fully onboarded Users.
8.2. These systems are generated automatically based on observed platform behavior and do not constitute a certification, guarantee, endorsement, or recommendation by Mentheris regarding the competence, integrity, trustworthiness, or professional legitimacy of any user. Numeric or tier-based scores, where displayed, are informational signals only.
8.3. Mentheris does not warrant the accuracy or fairness of any automated ranking, scoring, or matching outcome, and is not liable for decisions users make in reliance on such signals.
8.4. We reserve the right to modify the logic, weighting, or criteria underlying any automated system described in this Section at any time, without individual prior notice. The specific criteria, thresholds, and weighting factors used by these systems are proprietary and are not published in full, in order to preserve the integrity of the systems and to prevent manipulation as described in Section 7.1(k)-(l); illustrative, non-exhaustive guidance may be shown to you within the App in relation to your own account.
8.5. Where the App displays reasons for a suggested match (for example, “Shared domain,” “Both prefer short-term projects”), such explanations are illustrative and generated automatically; they do not disclose the complete methodology behind the underlying score and should not be relied upon as an exhaustive account of why any content or User was, or was not, surfaced to you.
9. Calls, Applications, and the Formation of Collaborations
9.1. The App enables Users to publish Calls describing a collaboration opportunity, and other Users to apply. The Call owner may accept or decline applications received.
9.2. Free-tier accounts are subject to lifetime limits on the number of Call applications they may submit and the number of Calls they may publish, as displayed in the App and detailed in the Refund and Cancellation Policy. These limits apply over the entire lifetime of the account and are not restored upon withdrawal, rejection, or acceptance of an application, nor upon archiving or deletion of a published Call. Re-application following rejection is treated as the reactivation of your original application, not as a new application, and does not consume an additional slot from your Free-tier limit.
9.3. Automatic archiving of Calls. A Call may be automatically archived by the platform when its stated deadline passes, or, at the Call owner’s election, when all available spots have been filled. Automatic archiving removes the Call from the public feed and renders any remaining pending applications inactive; affected applicants are notified. Archiving does not delete the Call or its historical data, consistent with Section 6.6.
9.4. Formation of a collaboration through the App including the acceptance of an application, the exchange of messages in a Collaboration Workspace, and the completion of the in-app agreement and contact-unlock stages described below does not constitute an employment contract, a contract for services, or any other legally binding contractual relationship between Mentheris and any User. Any agreement reached between Users regarding the scope, compensation, timeline, or other terms of their collaboration is exclusively between those Users.
9.5. Mentheris is not a party to any collaboration formed via the App, does not guarantee the performance of obligations Users undertake toward one another, and does not mediate contractual disputes between Users beyond the reporting and moderation mechanisms described in these Terms.
9.6. Alternative path direct collaboration invitations. In addition to forming a collaboration through a Call application, a User may send another User a direct collaboration invitation outside the public Calls Feed. Upon acceptance of such an invitation, a Collaboration Workspace is created and the same two-stage confirmation flow described in Section 9.7 below applies identically, regardless of whether the collaboration originated from a Call or from a direct invitation.
9.7. Two-Stage Confirmation Flow. When a Call owner accepts an application, or a User accepts a direct collaboration invitation, a Collaboration Workspace is created automatically, containing a chat channel and an initial system message. The workspace guides both parties through two sequential confirmation stages:
(a) Stage 1 Agreement: either party may propose an agreement describing the collaboration goal, estimated timeframe, and optional scope notes. Both parties must individually confirm the agreement before the workspace proceeds.
(b) Stage 2 Contact Unlock: both parties must separately confirm readiness to exchange contact details before such details become visible to either party.
9.8. Editing an agreement after one or both parties have confirmed it resets all confirmations, requiring both parties to reconfirm; this is a technical safeguard to prevent unilateral changes to agreed terms after acceptance, and does not itself create or modify any legal obligation between the parties beyond what they separately agree.
9.9. These confirmation stages are technical alignment mechanisms provided by the platform for the convenience and safety of Users. They do not constitute the negotiation, execution, or legal formation of a contract by or through Mentheris, and the content of any agreement entered by Users (goal, timeframe, scope) is the sole responsibility of the Users who enter it.
9.10. If one party confirms a stage and the other does not respond, the system may send a limited number of automatic reminder notifications (up to two per stage, generally at 48 hours and at 7 days); after such reminders are exhausted without a response, the collaboration may be flagged as inactive (“stale”) under Section 10.5, with options to send a one-time nudge or formally close the collaboration. These automated processes are informational and organizational in nature and do not affect the legal rights of Users toward one another.
10. Ending a Collaboration
10.1. A collaboration progresses through defined states: pending confirmation, active, paused, completed, and cancelled. The actions available to a User depend on the current state, as displayed in the App.
10.2. Prior to acceptance, an applicant may withdraw a pending application at any time.
10.3. After acceptance but before both confirmation stages are complete, either party may exit through a short confirmation flow, after which the collaboration is permanently closed and cannot be reapplied to.
10.4. Once a collaboration is active or paused, it cannot be exited through a simple withdrawal. Ending it requires completing a formal “Close Collaboration” flow, which requires a stated reason and permits an optional note and appreciation message to the other party. This design ensures that active, mutually confirmed collaborations are closed transparently rather than abandoned without explanation.
10.5. Stale collaboration detection. The App automatically monitors active collaborations for prolonged inactivity. Where no activity is detected within a defined period, the collaboration may be flagged as inactive (“stale”), and either party may send a one-time reminder (“nudge”) to the other, limited to once per 24-hour period per collaboration. Repeated inactivity despite nudges does not automatically close the collaboration; either party retains the ability to formally close it at any time through the flow described in Section 10.4, or to continue it once activity resumes.
10.6. Contact detail privacy upon closure. When a collaboration is closed for any reason, previously shared contact details are revoked at the data level (not merely hidden by an access-control rule), and no longer accessible through the workspace. Mentheris cannot control or retrieve contact information that a User may have separately recorded outside the App prior to closure (for example, saved to a personal address book); responsibility for any such use rests with the Users involved.
10.7. Reactivating an archived Call after withdrawal. If an applicant withdraws before confirming Stage 1 or Stage 2 from a collaboration whose originating Call had been automatically archived under Section 9.3 due to all spots being filled, the Call owner may, at their discretion, manually reactivate the Call to accept another applicant. Reactivation is not automatic.
10.8. Effect on reputation signals. A collaboration formally closed with a completed outcome contributes to the User’s Trust Level and is reflected as a “completed collaboration” on their profile, as described in Section 8. A collaboration closed as cancelled does not contribute to these signals. Mentheris does not evaluate or verify the substantive quality of a completed collaboration beyond its formal closure status.
10.9. Nothing in this Section obligates Mentheris to enforce, mediate, or adjudicate the substance of any dispute arising from the closure of a collaboration.
11. Connections, Blocking, and Reporting
11.1. Connections on Kaegora are mutual; there are no unilateral “followers.” A connection request may be withdrawn by the sender; following withdrawal, a subsequent request to the same recipient is subject to a fourteen (14) day cooldown period, applicable to all Users regardless of subscription tier. Free-tier accounts may have a maximum of fifteen (15) simultaneously pending outgoing connection requests and may send up to one hundred (100) requests per calendar month; Pro-tier accounts are not subject to these limits, as detailed in Section 14.
11.2. An unanswered connection request automatically moves to an “Expired” state after thirty (30) days, but is not deleted and remains available for the recipient to accept at any time thereafter, forming the connection as though it had been accepted within the original timeframe. Direct collaboration invitations (as distinct from connection requests) do not expire and remain pending until the recipient responds or the sender withdraws them.
11.3. Removing a connection. Either party to an existing connection may remove it at any time. Removal ends the connection and any associated Pro-tier Direct Messages access between the parties; the removed User subsequently reappears to you in Discover as an unconnected User, subject to your respective visibility settings.
11.4. Blocking is a private action available to any User. Blocking has a symmetric, bidirectional effect: if you block another User, or another User blocks you, both Users are prevented from viewing each other’s profile, sending messages or requests to one another, and appearing to each other in Discover or search, regardless of who initiated the block. Blocking is private and by design does not notify the blocked User, and it protects only the blocking User it does not alert Mentheris, protect other Users, or constitute a report to the moderation team.
11.5. Reporting is a distinct action directed to the Mentheris moderation team, intended to flag a User, a Call, or a message (including within a Collaboration Workspace or a direct conversation) for review. Reporting and blocking are independent actions: you may report without blocking, and block without reporting.
11.6. Submitting a report does not result in the immediate removal of the reported content or account. Reported content remains visible pending review. Reports are processed through a moderation queue (progressing through Pending, Reviewed, Resolved, and Rejected states) and may result in one of the following outcomes: no action taken, a warning, content removal, or account suspension or termination, at Mentheris’s reasonable discretion.
11.7. By design, the reported User is not notified that a report has been submitted against them, to reduce the risk of conflict or retaliation. Similarly, several other actions on the platform are intentionally silent and do not trigger a notification to the other party, including but not limited to: declining a connection request, silently rejecting a Call application, removing a connection, muting a conversation, and withdrawing a pending request or invitation. You acknowledge and accept this as an intentional design principle of the Service, not an error or a privacy failure.
11.8. Personal messages on connection requests. Pro-tier Users may attach a short personal message to a connection request, as described in Section 14. Free-tier Users send connection requests without this feature.
11.9. The system prevents the submission of duplicate reports by the same User against the same content.
11.10. Misuse of the blocking or reporting systems, including knowingly false reports, may itself constitute a violation of these Terms under Section 7.
12. Content Moderation
12.1. Mentheris maintains a Content Moderation Policy, incorporated herein by reference, describing in greater detail the categories of reportable content, the moderation review process, and the possible outcomes of a report.
12.2. Quality-related flagging. Flagging a Knowledge base resource for quality reasons (for example, a misleading title, an incorrect category, or insufficient detail) is a distinct mechanism from abuse reporting under Section 11 and is handled separately, as described in the Content Moderation Policy. A resource that accumulates three (3) or more quality flags within a thirty (30) day period is automatically routed to moderator review. Consistent with the design principle described in Section 11.7, the resource creator is not notified of individual quality flags as they are submitted.
12.3. When a Call is reported by another user, the Call owner is informed that a routine moderation review is taking place; this notice does not imply wrongdoing and does not itself affect the visibility of the Call or its active applications while under review. Upon resolution, the owner is informed of the outcome.
12.4. Relationship to automated pre-publication screening. Certain content, including newly published Calls, is additionally subject to automated screening prior to publication, as described in Section 7.2. That mechanism operates independently of, and prior to, the post-publication reporting and flagging processes described in this Section and in Section 11.
12.5. Appeal of content-level moderation decisions. The appeal process described in Section 18.5 applies both to account-level suspension or termination and to a decision to remove or restrict specific content under this Section, where such a decision is made without a broader account action.
13. Messaging and Communication
13.1. Kaegora does not provide generic, unrestricted direct messaging. Except for the Direct Messages feature available between Pro-tier Users who have an accepted mutual connection, all communication on the platform occurs within a Collaboration Workspace anchored to a specific, structured collaboration. This is an intentional design principle: communication on Kaegora happens in the context of collaborative work, not as an open-ended chat function.
13.2. Direct Messages (Pro feature). Direct Messages are a separate communication channel available only between Pro-tier Users who have an accepted mutual connection, as described in Section 11. Unlike a Collaboration Workspace, Direct Messages are not subject to the two-stage confirmation flow described in Section 9.7, do not create a formal collaboration record, and do not generate the system-message audit trail described in Section 6.4. Direct Messages remain a Pro-tier feature; if either party’s Pro subscription lapses, sending new Direct Messages may be restricted, consistent with Section 14.
13.3. System-generated messages recording significant events within a Collaboration Workspace (e.g., agreement confirmations, contact unlocks) form part of a permanent audit trail and cannot be deleted by Users, as described in Section 6.4. This audit-trail mechanism does not apply to Direct Messages, which are not tied to a formal collaboration record.
13.4. The message composer in a Collaboration Workspace is available only while the collaboration is in a pending confirmation, active, or paused state; it is disabled once the collaboration is completed or cancelled, at which point the workspace becomes a read-only archive.
13.5. You may report any individual message you receive, whether in a Collaboration Workspace or in a Direct Message, as described in Section 11.
13.6. Certain preferences relating to conversations (such as muting a conversation) may be stored locally on your device and may not synchronize across devices or to our servers.
13.7. Message search. The App allows you to search across your own conversation history. This function searches only messages you are a party to, and only User-authored message content, system-generated audit messages are excluded from search results. Search does not grant access to any conversation or collaboration you are not a participant in.
14. Free and Pro Subscription Plans
14.1. Kaegora offers a Free tier and a paid Pro tier, each with distinct feature limits, as described in detail in the App and in the Refund and Cancellation Policy.
14.2. Subscription status. At any time, your subscription is in one of the following states, each with a distinct effect on your access: Trialing (full Pro access during the 7-day trial described in Section 14.4); Active (full Pro access, current paid subscription); Cancel Scheduled (full Pro access continues until the end of the current billing period, after which the subscription becomes Expired); Expired (trial ended without upgrading; Free-tier access applies); and Canceled (paid subscription ended; Free-tier access applies). Canceling a Pro subscription does not immediately revoke Pro access, access continues until the end of the period you have already paid for, as detailed in the Refund and Cancellation Policy.
14.3. Illustrative Free-tier limits include, without limitation: a maximum of three (3) Call applications over the lifetime of the account; a maximum of one (1) published Call over the lifetime of the account; a maximum of fifteen (15) simultaneously pending connection requests; and a maximum of one hundred (100) connection requests sent per calendar month. Free-tier applications and connection requests are submitted without a personal message. These limits are enforced server-side and cannot be bypassed through the client application.
14.4. New users receive a seven (7) day Pro trial automatically upon signup, requiring no payment method. Content created during the trial remains accessible after the trial ends, but new Pro-exclusive content cannot be created until the account is upgraded, and any usage beyond applicable Free-tier limits (for example, extra published Calls) is automatically archived, not deleted, with notice provided to the User.
14.5. Payment processing. Subscription purchases, renewals, and cancellations are processed exclusively through Apple’s In-App Purchase system (iOS) and Google Play Billing (Android), managed via RevenueCat as a subscription infrastructure provider. Mentheris does not directly process or store your payment card information. Detailed terms regarding billing, renewal, cancellation, and refunds are set out in the Refund and Cancellation Policy, incorporated herein by reference and forming an integral part of these Terms.
14.6. Downgrading from Pro to Free (whether through cancellation or trial expiry) does not delete any previously created content. Illustrative consequences of downgrading include, without limitation: published Calls beyond the Free-tier limit are automatically archived, not deleted; reading lists remain fully visible but become read-only; existing academic notes and workspace notes remain visible to all prior readers, but no new ones may be added; and saved smart-search alerts are preserved but their automatic delivery is paused. All such content and functionality is restored automatically upon upgrading again, as further detailed in the Refund and Cancellation Policy.
14.7. Prices displayed in the App may change; any price change affecting an active subscription will be communicated in accordance with Apple’s and Google’s applicable policies on notifying subscribers.
14.8. No permanent restriction of core access. Free-tier limitations apply only to the specific advanced features and volume limits described in this Section and in the Refund and Cancellation Policy. We do not permanently block a Free-tier User’s access to the App’s core functionality; where a Pro-gated action is attempted, you retain the ability to decline the upgrade and continue using the App within the applicable Free-tier limits.
15. Intellectual Property
15.1. The App, the name “Kaegora,” associated logos, the interface design, underlying source code, data structures, and all associated technical and visual elements are the property of Mentheris SRL or its licensors and are protected by applicable copyright, trademark, and other intellectual property laws.
15.2. No rights are granted to you in Mentheris’s trademarks, logos, or brand elements, except as expressly permitted for the ordinary use of the App’s functionality (for example, displaying your own profile).
15.3. You may not copy, modify, distribute, reverse-engineer, or create derivative works based on the App, except where expressly permitted by applicable law.
15.4. Where the App enables you to add, cite, or link to third-party resources (for example, in the Knowledge base), such resources remain the property of their respective owners. Mentheris does not verify the ownership or licensing status of externally sourced or auto-fetched metadata (for example, metadata retrieved from academic databases such as CrossRef), and you are solely responsible for ensuring you have the right to reference such material as described in Section 6.7.
15.5. Intellectual property infringement notices. If you believe that content on the App infringes your copyright or other intellectual property rights, you may submit a notice to [email protected] including: (a) identification of the work claimed to be infringed; (b) identification of the allegedly infringing content and its location within the App; (c) your contact information; (d) a statement of good-faith belief that the use is not authorized; and (e) a statement, under penalty of perjury, that the notice is accurate and that you are authorized to act on behalf of the rights holder. Upon receipt of a valid notice, we may remove or disable access to the identified content.
15.6. Counter-notice. A User whose content is removed under Section 15.5 may submit a counter-notice disputing the claim, including a statement of good-faith belief that the content was removed in error, to the same contact address. We may, at our discretion, reinstate the content following a valid counter-notice, unless the original complainant initiates legal action within a reasonable period.
15.7. Repeat infringers. We reserve the right to suspend or terminate the account of any User who is the subject of repeated, substantiated intellectual property infringement notices, in accordance with Section 18.
16. Disclaimers and Limitation of Liability
16.1. The App is provided “as is” and “as available,” without warranties of any kind, whether express or implied, including without limitation warranties of merchantability, fitness for a particular purpose, or non-infringement.
16.2. Mentheris does not warrant or guarantee: (a) the quality, competence, real identity, or intentions of any User; (b) the outcome, success, or proper performance of any collaboration formed through the App; (c) the accuracy of any automated scoring, ranking, matching, or reputation system described in Section 8; (d) uninterrupted, error-free, or entirely secure operation of the Service.
16.3. To the maximum extent permitted by applicable law, Mentheris shall not be liable for any indirect, incidental, special, punitive, or consequential damages arising from your use of, or inability to use, the App, including damages arising from interactions between Users.
16.4. Nothing in these Terms limits or excludes liability that cannot be limited or excluded under applicable law (including, for EU consumers, mandatory consumer-protection provisions), or liability arising from intentional misconduct or gross negligence.
16.5. Limitation of aggregate liability. To the maximum extent permitted by applicable law, Mentheris’s total aggregate liability arising out of or relating to these Terms or your use of the App shall not exceed the greater of: (a) the total amount you paid to Mentheris (via Apple’s or Google’s in-app purchase systems) in the twelve (12) months preceding the event giving rise to the claim; or (b) twenty euros (€20). This limitation applies regardless of the legal theory of liability and even if Mentheris has been advised of the possibility of such damages, except where a higher liability threshold is mandated by applicable law (including, for EU consumers, mandatory consumer-protection provisions referenced in Section 16.4).
16.6. Third-party services. The App relies on third-party infrastructure and services, including Apple’s App Store and In-App Purchase system, Google Play and Google Play Billing, RevenueCat, our hosting and database providers, and push notification and email delivery services. Mentheris is not liable for any interruption, error, delay, or failure of the App caused by the unavailability, malfunction, or discontinuation of any such third-party service.
16.7. Force majeure. Mentheris shall not be liable for any failure or delay in performance under these Terms resulting from causes beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, governmental action, labor disputes, internet or telecommunications failures, or widespread outages of third-party infrastructure described in Section 16.6.
17. Indemnification
17.1. You agree to indemnify and hold harmless Mentheris SRL, its directors, employees, and partners from and against any claims, damages, losses, costs, or expenses (including reasonable legal fees) arising out of or related to: (a) your breach of these Terms; (b) your User-Generated Content; (c) your infringement of any third party’s rights, including claims processed under Section 15.5; or (d) your unlawful or unauthorized use of the App.
17.2. Indemnification process. We will provide you with prompt notice of any claim subject to indemnification under this Section, to the extent reasonably practicable. We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which case you agree to cooperate with any reasonable requests necessary to assist our defense of such matter.
18. Account Suspension and Termination
18.1. We reserve the right to suspend or permanently terminate your account, with or without prior notice, in circumstances including but not limited to: violation of these Terms, the Acceptable Use Policy, or the Content Moderation Policy; fraudulent, abusive, or unlawful activity; a request from competent authorities; or prolonged inactivity, as separately communicated.
18.2. Deactivation vs. Deletion. You may deactivate your account at any time, which hides your profile from other Users and pauses activity; deactivation is reversible, and your data continues to be stored. Deleting your account is a separate, irreversible action that permanently removes your profile, collaboration history, messages, and related data, subject to the retention exceptions described in the Privacy Policy. Only account deletion, not deactivation, constitutes exercise of your right to erasure under applicable data protection law.
18.3. Effect on active collaborations. If your account is suspended or terminated, any Collaboration Workspaces you are a party to become inaccessible to you, and your collaboration partners are notified that the collaboration can no longer continue through the App. Mentheris is not responsible for any resulting disruption to collaborations in progress, consistent with Section 9.5.
18.4. Effect on active Pro subscription. Deleting your account while a paid Pro subscription is active does not automatically entitle you to a refund for the remaining subscription period. Subscription cancellation is a separate action from account deletion and should be completed independently through Apple’s or Google’s subscription management tools, as described in the Refund and Cancellation Policy, to stop future billing.
18.5. Right of appeal. If your account is suspended or terminated, you may contest the decision within thirty (30) days by written request to the contact address in Section 23. We will review such requests in good faith, without guaranteeing a particular outcome.
18.6. Upon account deletion, certain data may be retained where required by law or for legitimate record-keeping purposes (for example, billing records), as described in the Privacy Policy.
19. Governing Law, Jurisdiction, and Sanctions Compliance
19.1. These Terms are governed by the laws of Romania.
19.2. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts of Romania, except where applicable mandatory law provides otherwise.
19.3. For Users resident in the European Union: the choice of Romanian law does not deprive you of the protection afforded by mandatory provisions of the law of your country of residence that cannot be derogated from by agreement, to the extent such provisions provide a higher level of protection (including, without limitation, applicable consumer withdrawal rights for digital services and other EU consumer-protection rights).
19.4. For Users outside the European Union, Romanian law and the courts of Romania constitute the exclusive forum for dispute resolution, to the extent permitted by locally applicable law.
20. Sanctions and Export Compliance
20.1. You represent and warrant that you are not located in, and are not a resident of, any country or region subject to comprehensive trade sanctions administered by the United Nations, the European Union, the United States, or any other jurisdiction applicable to Mentheris (including, as of the date of these Terms, Cuba, Iran, North Korea, Syria, and the Crimea, Donetsk, and Luhansk regions of Ukraine).
20.2. You further represent that you are not listed on any applicable restricted party, denied persons, or sanctioned entity list maintained by these or other competent authorities.
20.3. We reserve the right to suspend or deny access to the App to any User where necessary to comply with applicable sanctions, export control, or anti-money-laundering laws.
21. General Provisions
21.1. Severability. If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court or authority of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions of these Terms shall remain in full force and effect.
21.2. Entire Agreement. These Terms, together with the Privacy Policy, the Acceptable Use Policy, the Content Moderation Policy, and the Refund and Cancellation Policy, each incorporated herein by reference, constitute the entire agreement between you and Mentheris regarding your use of the App, and supersede any prior or contemporaneous agreements, communications, or understandings, whether written or oral, relating to the subject matter herein.
21.3. No Waiver. No failure or delay by Mentheris in exercising any right, power, or remedy under these Terms shall operate as a waiver of that right, power, or remedy, nor shall any single or partial exercise preclude any further exercise or the exercise of any other right, power, or remedy. Any waiver must be in writing to be effective.
21.4. Assignment. Mentheris may assign or transfer these Terms, in whole or in part, without restriction, including in connection with a merger, acquisition, corporate reorganization, or sale of assets, as referenced in Section 9 of the Privacy Policy. You may not assign or transfer these Terms, or any rights or obligations under them, without our prior written consent, and any attempted assignment in violation of this Section is void.
21.5. Notices. Any notice we are required to provide to you under these Terms may be given by email to the address associated with your account, or through an in-app notification, and shall be deemed received upon transmission. Notices to Mentheris must be sent to the contact address specified in Section 23.
21.6. Relationship of the Parties. Nothing in these Terms creates any partnership, joint venture, agency, franchise, or employment relationship between you and Mentheris.
21.7. Language. These Terms are drafted in English. Where these Terms are translated into any other language for convenience, the English-language version shall prevail in the event of any conflict or inconsistency between versions.
21.8. Headings. Section headings are provided for convenience only and do not affect the interpretation of these Terms.
22. Changes to These Terms
22.1. We may modify these Terms at any time. Changes will be communicated through an in-app notice and/or by updating the “Last updated” date at the top of this document.
22.2. Material changes will be communicated with reasonable advance notice where practicable.
22.3. Continued use of the App after changes take effect constitutes acceptance of the revised Terms. If you do not agree to the revised Terms, your sole recourse is to stop using the App and, if you wish, delete your account.
22.4. If you do not agree to a material change and choose to delete your account as a result, any active Pro subscription remains subject to the standard cancellation terms described in the Refund and Cancellation Policy; disagreement with a Terms update does not, by itself, entitle you to a prorated refund for the remaining subscription period.
